These Terms of Service ("Terms") are a legally binding agreement between you and [LEGAL ENTITY NAME], doing business as Fay Moroux ("Fay Moroux," "we," "us," or "our").

These Terms govern your access to and use of www.faymoroux.com, our online store, related content and features, and products or services offered by Fay Moroux (collectively, the "Services").

By accessing the Services, creating an account, or placing an order, you acknowledge that you have read and agree to these Terms and our Privacy Policy. If you do not agree, do not use the Services or place an order.

Nothing in these Terms excludes or limits rights or remedies that cannot lawfully be excluded or limited under applicable law.

You must have the legal capacity to enter into a binding contract to make a purchase. If you are under the age of majority where you live, you may use the Services only with the involvement and consent of a parent or legal guardian where required by law.

Information you provide when using the Services must be accurate, current, and complete. You are responsible for safeguarding your account credentials and for activity conducted through your account.

2. Our Relationship With Shopify

The Services are hosted and powered by Shopify, which enables us to provide our online storefront and related functionality.

All sales made through our store are transactions directly between you and Fay Moroux. Shopify is not the seller of Fay Moroux products and is not responsible for any aspect of a sale between you and Fay Moroux, including injury, damage, or loss arising from products purchased from us, except to the extent Shopify has an independent legal responsibility that cannot be excluded.

To the maximum extent permitted by law, you release Shopify and its affiliates from claims arising solely from your purchase transaction with Fay Moroux. Nothing in this section limits any right or remedy that cannot legally be waived.

3. Privacy

Our collection and use of personal information are described in our Privacy Policy. Our use of cookies and similar technologies may also be governed by our Cookie Policy and the privacy preference controls available through our website.

Because Shopify hosts the Services, Shopify collects and processes certain information about your access to and use of the Services. You can learn more in Shopify's Consumer Privacy Policy.

4. Permitted and Prohibited Use

We grant you a limited, personal, revocable, non-exclusive, and non-transferable right to use the Services for lawful, personal, non-commercial purposes.

You may not use the Services to:

  • violate any law or another person's rights;

  • impersonate another person or provide fraudulent or misleading information;

  • interfere with the operation, security, or availability of the Services;

  • introduce malicious code or attempt unauthorized access to systems, accounts, or data;

  • collect personal information about others without authorization;

  • circumvent fraud controls, purchase limits, security measures, or access restrictions;

  • use bots, scrapers, automated purchasing tools, or similar technology in a manner that burdens the Services, bypasses controls, or interferes with fair customer access;

  • reproduce, extract, resell, or commercially exploit the Services or their content without permission;

  • submit unlawful, deceptive, defamatory, abusive, or infringing material; or

  • encourage or assist another person in doing any of the above.

We may restrict or terminate access where we reasonably believe these Terms have been violated or where action is necessary for security, fraud prevention, legal compliance, or protection of customers and the Services.

5. Personal Use, Resale, and Product Authenticity

Unless we expressly agree otherwise in writing, products purchased through the Services are intended for personal or household use. You may not purchase products for unauthorized resale, redistribution, or commercial export.

We may limit quantities, restrict repeat purchases, reject unusually large orders, or cancel orders associated with suspected fraud, resellers, unauthorized distributors, or abuse of promotions.

We can guarantee the authenticity, storage history, handling, and quality of Fay Moroux products only when purchased directly from Fay Moroux or an authorized seller identified by us. Voluntary guarantees or promotional remedies may be limited to purchases from those channels, but this does not limit statutory rights that apply regardless of the seller.

6. Skincare Information and Product Safety

Information about skincare, ingredients, routines, skin appearance, product use, educational content, product recommendations, customer support, and advertising is provided for general cosmetic and informational purposes. It is not medical advice, diagnosis, treatment, or a substitute for advice from a qualified healthcare professional.

Fay Moroux cosmetic products are not intended to diagnose, treat, cure, or prevent disease unless a product is expressly marketed and legally regulated for that purpose. Seek appropriate medical advice concerning a medical condition, known allergy, significant skin disorder, medication interaction, pregnancy-related concern, or other health issue.

Read and follow the directions, warnings, ingredient list, and usage instructions supplied with each product. Unless a product's instructions state otherwise:

  • use cosmetic products externally only;

  • avoid direct contact with the eyes;

  • keep products out of reach of children;

  • do not use materially damaged, contaminated, or tampered-with products; and

  • discontinue use if significant or persistent irritation occurs.

Review the ingredient list before use if you have a known sensitivity or allergy. Where appropriate for your circumstances, you may choose to patch test before broader use. If you experience a serious or unexpected reaction, discontinue use and seek medical attention where necessary.

Product-safety concerns and adverse reactions may be reported to info@faymoroux.com. Please retain the product and its packaging or batch information where possible so we can investigate.

7. Product Information, Results, and Images

We make reasonable efforts to present product descriptions, ingredient lists, sizes, usage instructions, prices, photographs, and availability accurately. However:

  • packaging, formulas, ingredients, specifications, or appearance may change;

  • screen settings, lighting, photography, and manufacturing tolerances may affect how a product appears;

  • individual skincare responses and cosmetic results vary; and

  • reviews, testimonials, photographs, demonstrations, or studies do not guarantee a particular individual result.

  • Visual Illustrations. Fay Moroux may occasionally use digitally created, enhanced, or illustrative visuals to communicate product concepts or potential cosmetic outcomes. Such visuals are for illustrative purposes only and do not represent guaranteed, typical, or clinically verified results unless expressly stated. Individual experiences and results may vary.

Always review the packaging and labeling accompanying the product you receive before use, particularly if you have an ingredient sensitivity or allergy. If website information appears inconsistent with the physical product, contact us before use.

We may update product descriptions, restrict availability, limit quantities, discontinue products, or make non-material packaging changes at any time. Changes affecting an accepted order remain subject to applicable law and our obligations to you.

8. Orders and Acceptance

Submitting an order is an offer to purchase the products identified in the order. An automated acknowledgement that we received your order does not necessarily mean we have accepted it. Unless applicable law requires otherwise, acceptance occurs when we dispatch the product, expressly confirm acceptance, or otherwise complete the transaction.

Before acceptance, we may reject or cancel an order for legitimate reasons including:

  • product unavailability;

  • an obvious pricing, inventory, or technical error;

  • payment authorization failure;

  • suspected fraud or unauthorized resale;

  • violation of purchase limits;

  • inaccurate customer or delivery information;

  • sanctions or legal restrictions; or

  • circumstances making fulfilment impracticable.

If we cancel an order after collecting payment, we will refund the affected amount to the original payment method unless another method is required or agreed.

Review your order carefully before submitting it. If you need to correct or cancel an order, contact us promptly. We may try to help but cannot guarantee changes after processing or fulfilment has begun.

9. Prices, Payment, Errors, and Promotions

The price charged is generally the price displayed at checkout when your order is submitted, subject to correction of obvious errors and applicable law. Unless expressly stated, prices may exclude shipping, taxes, duties, customs charges, brokerage fees, or other applicable charges.

By submitting payment information, you represent that you are authorized to use the selected method and that the information is accurate. Payments may be processed by third-party providers. Your bank or payment provider may impose currency-conversion or other fees outside our control.

If an obvious pricing, promotional, inventory, or technical error occurs, we may correct the information, contact you for instructions, cancel the affected item, or refund an amount already paid, to the extent permitted by law. We will not use this provision to avoid a legitimate advertised offer.

Promotions may be subject to separate terms. Unless otherwise stated, promotional codes:

  • are available for a limited time or while supplies last;

  • have no cash value and may not be transferable;

  • may be limited to one per order;

  • may exclude specified products, shipping, taxes, gift cards, or prior purchases; and

  • may not be combined with another offer.

Free gifts are subject to availability. We may reject fraudulent, automated, duplicate-account, or otherwise abusive promotional use. Incentives for reviews are never conditioned on a positive sentiment, and any required material-connection disclosure must be made.

10. Shipping, Delivery, Returns, and International Orders

Shipping and delivery are governed by our Shipping Policy. Returns, refunds, exchanges, and any voluntary satisfaction guarantee are governed by our Refund Policy. Those policies form part of the agreement governing your purchase.

Delivery dates are estimates unless expressly guaranteed. We are not responsible for delays caused by carriers, customs, inaccurate delivery information, or events outside our reasonable control, but this does not remove rights provided by mandatory law.

Risk of loss and title transfer in accordance with applicable law and any delivery terms displayed at checkout. A carrier's delivery confirmation may be evidence of delivery but does not override rights that cannot legally be waived. Contact us promptly if tracking shows delivery but you have not received the order.

International orders may be subject to taxes, value-added tax, duties, customs procedures, brokerage fees, or import restrictions. Where charges are not collected at checkout, you may be responsible for them to the extent permitted by law. We may restrict sales or delivery to particular territories.

Nothing in these Terms or our policies limits mandatory rights concerning damaged, defective, misdescribed, unsafe, or non-conforming goods.

11. Intellectual Property

The Services and their contents—including the Fay Moroux name, logos, product names, packaging, trademarks, trade dress, photography, artwork, graphics, videos, copy, product descriptions, page layouts, designs, software, and code (collectively, "Content")—are owned by or licensed to Fay Moroux and protected by applicable intellectual-property laws.

Except as expressly permitted by law or these Terms, you may not copy, reproduce, modify, distribute, publish, sell, license, create derivative works from, scrape, systematically download, or commercially exploit the Content without prior written permission from Fay Moroux or the applicable rights holder.

No ownership right or trademark license is transferred through your use of the Services or purchase of a product. You may not use Fay Moroux brand assets in a way that implies sponsorship, creates confusion, or falsely represents an authorized relationship.

12. Reviews, User Content, and Feedback

If you submit a review, rating, testimonial, photograph, video, comment, question, social-media content, or other material ("User Content"), you retain the rights you lawfully hold in it.

By submitting User Content directly to Fay Moroux for publication or promotional use, you grant Fay Moroux a non-exclusive, worldwide, royalty-free, transferable, and sublicensable license to host, reproduce, adapt, publish, translate, distribute, display, and use that User Content in connection with operating, advertising, and marketing Fay Moroux, subject to applicable privacy, publicity, endorsement, and consumer-protection laws. Where legally required, we will obtain additional permission for a specific advertising use of your name, likeness, or other protected attribute.

You represent that your User Content:

  • reflects your honest experience where it describes a product experience;

  • is content you have the right to submit;

  • does not infringe another person's rights;

  • is not unlawful, fraudulent, defamatory, deceptive, or abusive; and

  • does not contain malicious code or unauthorized advertising.

We may moderate or remove User Content where permitted by law, but we will not prohibit or penalize an honest review merely because it is negative. We will not knowingly alter the substantive meaning of a genuine review in a misleading manner.

If a reviewer received a free product, discount, payment, or another material benefit, that relationship must be clearly disclosed where required. Any incentive we offer for a consumer review is not conditioned, expressly or implicitly, on the review expressing a positive or negative sentiment.

General ideas or suggestions voluntarily sent without a separate confidentiality agreement may be used by us without restriction or compensation to the extent permitted by law. Do not send confidential business information or proprietary ideas unless we have agreed in writing to receive them confidentially.

13. Third-Party Services and Links

The Services may contain links to or integrations with third-party websites, payment providers, social platforms, applications, or services. Third-party services are governed by their own terms and policies.

We do not control those services and, except where applicable law provides otherwise, are not responsible for their content, privacy practices, availability, or transactions entered into directly with them. A link does not necessarily constitute endorsement.

14. Disclaimer of Warranties

This section applies only to the maximum extent permitted by applicable law.

Except for warranties expressly provided by us in writing and statutory warranties or guarantees that cannot be excluded, the Services are provided on an "as is" and "as available" basis.

We do not warrant that the Services will always be uninterrupted, error-free, complete, current, or free from all harmful components or unauthorized interference. To the maximum extent permitted by law, we disclaim implied warranties including merchantability, fitness for a particular purpose, title, and non-infringement.

Nothing in this section excludes a statutory warranty or guarantee that cannot legally be excluded.

15. Limitation of Liability

This section applies only to the maximum extent permitted by applicable law.

Fay Moroux and its affiliates, officers, directors, employees, agents, contractors, licensors, and service providers will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages arising from or relating to the Services or these Terms where such damages may lawfully be excluded. This may include loss of profits, revenue, goodwill, opportunity, or data.

To the maximum extent permitted by law, and except for liability that cannot legally be limited, Fay Moroux's aggregate liability arising from a particular purchase or use of the Services will not exceed the greater of:

  1. the amount paid to Fay Moroux in connection with the matter giving rise to the claim during the twelve months before the event; or

  2. USD $500.

These limitations do not apply where prohibited by law, including where applicable to fraud, willful misconduct, gross negligence that cannot be limited, death or personal injury caused by negligence where liability cannot be excluded, statutory product liability, or another non-waivable right.

16. Indemnification

To the maximum extent permitted by law, you agree to indemnify and hold harmless Fay Moroux and its affiliates, officers, directors, employees, agents, and representatives from third-party claims, liabilities, losses, damages, and reasonable costs arising directly from:

  • your unlawful use of the Services;

  • your material breach of these Terms;

  • User Content submitted in violation of another person's rights; or

  • your intentional violation of applicable law.

This obligation does not apply to the extent a claim was caused by Fay Moroux's unlawful conduct, negligence, breach, or another responsibility that cannot legally be shifted to you.

17. Suspension, Termination, and Service Changes

We may suspend or terminate access where reasonably necessary because of a violation of these Terms, fraud, security concerns, abuse of promotions or purchase limits, infringement, threats to systems or customers, or legal requirements.

We may modify, suspend, or discontinue products or features of the Services. Where a change affects an accepted or paid transaction, we will comply with applicable contractual and consumer-protection obligations.

Termination does not affect rights or obligations that arose before termination. Provisions that by their nature should survive—including intellectual property, User Content licenses, disputes, liability, indemnification, and governing law—remain effective.

18. Disputes, Governing Law, and Mandatory Consumer Rights

Before filing a formal claim, you and Fay Moroux agree to make a good-faith effort to resolve the dispute informally. Send a written description of the issue and requested resolution to info@faymoroux.com. This informal step does not prevent either party from seeking urgent relief or filing a claim before a limitation period expires.

For U.S. customers, these Terms and disputes arising from them are governed by the laws of The Netherlands, without regard to conflict-of-law principles, except to the extent federal law applies or mandatory consumer law requires otherwise. Court proceedings may be brought in the state or federal courts located in The Netherlands, Friesland], unless applicable law allows or requires a claim to be brought elsewhere.

If you live outside the United States, mandatory consumer-protection laws in your country may provide rights that cannot be excluded, restricted, or modified by contract. Where a mandatory provision conflicts with these Terms, that provision controls. Nothing in these Terms restricts non-waivable rights relating to conformity of goods, defective products, withdrawal or cancellation, refunds, unfair contract terms, product liability, or access to courts or statutory dispute-resolution procedures.

19. General Terms

  • Electronic communications. Where permitted by law, transactional records, agreements, notices, order information, and other communications may be provided electronically. Marketing remains subject to applicable consent and opt-out requirements.

  • Assignment. You may not transfer your rights or obligations under these Terms without our prior written consent where such a restriction is permitted. We may transfer these Terms in connection with a merger, acquisition, financing, reorganization, sale of assets, or transfer of the Fay Moroux business, subject to applicable law.

  • Force majeure. To the extent permitted by law, we are not responsible for delay or failure caused by events outside our reasonable control. This does not remove mandatory delivery, refund, cancellation, or other consumer rights.

  • No waiver. A failure to enforce a provision does not waive the right to enforce it later.

  • Severability. If a provision is unlawful, invalid, or unenforceable, it will be enforced to the maximum lawful extent or severed, and the remaining provisions will continue in effect.

  • Entire agreement. These Terms and policies expressly incorporated into them constitute the agreement between you and Fay Moroux concerning the matters they govern and supersede prior agreements about the same subject matter, except where otherwise agreed in writing.

  • No third-party beneficiaries. Except where expressly stated, these Terms do not create enforceable rights for a third party.

20. Changes to These Terms

We may update these Terms periodically. When we do, we will update the "Last Updated" date. Changes generally apply prospectively.

For material changes, we will provide notice where required by law. Where affirmative agreement is legally required, revised Terms will not bind you until that agreement has been obtained.
